The Notice by the Ministry of Finance and the State Taxation Administration on Preferential Enterprise Income Tax Policies for the Guangdong-Macao In-Depth Cooperation Zone in Hengqin (No. 19 [2022] of the Ministry of Finance and the State Taxation Administration) is hereby forwarded to you, along with the following opinions, for your implementation.

I. Enhance coordination and cooperation. The finance and taxation authorities in the Hengqin Guangdong-Macao In-Depth Cooperation Zone (hereinafter referred to as the “Cooperation Zone”) shall proactively leverage their expertise to: establish a dedicated task force, develop a comprehensive work plan, and create a coordination mechanism with relevant industry regulators. These efforts will ensure effective implementation of preferential enterprise income tax policies within the Cooperation Zone.

II. Refine implementation measures. The finance and taxation authorities in the Cooperation Zone shall lead a collaborative effort with relevant bureaus, including legal affairs, economic development, and commercial services, to conduct in-depth study on specific policy measures, streamline tax collection and management procedures, develop clear implementation guidelines and work instructions for defining primary and substantial business operations, strengthen personnel training programs, and implement robust publicity and policy interpretation initiatives. This coordinated approach will ensure that businesses in the Cooperation Zone can promptly benefit from these preferential policies.

III. Strengthen risk prevention and management. Relevant parties and units shall implement risk prevention measures. This includes: establishing comprehensive pre-event, in-event, and post-event management processes; enforcing policies in strict accordance with the preferential catalogue; and strengthening the regulation and oversight of enterprises engaged in substantial business operations. The Finance, Economic Development, Commercial Services, and other relevant bureaus shall intensify their scrutiny of substantial business operations. Any violations of laws and regulations, including fraudulent applications, will be subject to strict investigation and penalties as per established regulations. Any policy implementation issues that cannot be resolved at the local level shall be submitted to the appropriate higher authorities without delay.

IV. Conduct implementation evaluation. Relevant parties and units shall conduct timely evaluations and summaries of policy implementation and submit a written report on policy implementation and evaluation results to the Department of Finance of Guangdong Province and the Guangdong Provincial Tax Service Administration within 30 working days after the annual enterprise income tax filing deadline.

To support the construction of Guangdong-Macao In-Depth Cooperation Zone in Hengqin (hereinafter referred to as the “Cooperation Zone”), preferential enterprise income tax policies are hereby notified to you:

I. The enterprise income tax on eligible enterprises established in the Guangdong-Macao In-Depth Cooperation Zone in Hengqin shall be levied at a reduced rate of 15%.

Enterprises eligible for the preferential policy under this article shall meet the following conditions:

1. The enterprise’s main business shall consist of the industrial projects specified in the Catalogue for Preferential Enterprise Income Tax in the Guangdong-Macao In-Depth Cooperation Zone in Hengqin (2021 Edition) (hereinafter referred to as the “Catalogue”, see Annex), and its main business revenue shall account for 60% or more of its total revenue. The total revenue shall be calculated in accordance with Article 6 of the Enterprise Income Tax Law of the People’s Republic of China.

2. The enterprise must engage in substantive operations. This means that the enterprise’s actual management institution must be located in the Cooperation Zone and exercise comprehensive management and control over its production and operations, personnel, accounts, and assets. Enterprises that do not meet the substantive operations requirements shall not be eligible for the preferential treatment.

For enterprises with headquarters located in the Cooperation Zone, the 15% tax rate applies only to the income of their headquarters and branch offices within the Cooperation Zone that meet the stipulated conditions. For enterprises with headquarters outside the Cooperation Zone, the 15% tax rate applies only to the income of their branch offices within the Cooperation Zone that meet the stipulated conditions. The specific tax collection and administration measures shall follow the regulations of the State Taxation Administration.

II. Enterprises in the tourism, modern services, and high-tech industries established in the Cooperation Zone shall be exempt from enterprise income tax on income from new foreign direct investments.

The income from new foreign direct investments referred to in this article shall meet the following conditions:

1. It includes either business profits from newly established branch offices outside the Chinese mainland or dividend income from subsidiaries outside the Chinese mainland where the enterprise holds 20% or more of the shares, corresponding to the new foreign direct investments.

2. The statutory enterprise income tax rate in the country or region where the investment is made must be at least 5%.

The tourism, modern services, and high-tech industries referred to in this article shall be defined according to the categories specified in the Catalogue.

III. For enterprises established in the Cooperation Zone, newly purchased (including self-built or self-developed) fixed assets or intangible assets with a unit value of up to 5 million yuan may be fully expensed in the current period and deducted when calculating taxable income, without needing to depreciate or amortize them over several years. For assets with a unit value exceeding 5 million yuan, enterprises may opt for a shortened depreciation or amortization period or use accelerated depreciation or amortization methods.

In this article, “fixed assets” refers to assets other than buildings and structures.

IV. The scope of the Guangdong-Macao In-Depth Cooperation Zone in Hengqin specified in this Notice shall follow the Master Plan for the Construction of Guangdong-Macao In-Depth Cooperation Zone in Hengqin, issued by the Central Committee of the Communist Party of China and the State Council in 2021.

V. If the tax authorities find it difficult to determine whether an enterprise’s main business falls within the scope of the Catalogue, they may request an opinion from the relevant administrative department of the People’s Government of Guangdong Province or the subordinate authority authorized by it.

VI. This Notice shall come into effect on January 1, 2021.
